Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Rooy Development ("Company", "we", "us", "our") governing your access to and use of the podcast generation service available at podcast-generator.ai and app.podcast-generator.ai (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

1. Service Description

The Service allows you to generate podcast-style audio content from text, documents, and URLs using artificial intelligence. We offer both free and paid subscription plans with varying usage limits.

2. Account Registration and Eligibility

2.1 Eligibility. You must be at least 16 years of age to register for and use the Service. By creating an account, you represent and warrant that you meet this age requirement.

2.2 Account Information. You agree to provide accurate, current, and complete information during registration and to update such information to maintain its accuracy.

2.3 Account Security. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

2.4 One Account Per User. Each user may maintain only one account. Multiple accounts per individual are prohibited to prevent abuse of the Service.

2.5 Email Verification. Verification of your email address is required to access certain features of the Service.

3. Acceptable Use Policy

3.1 Permitted Uses. You may use the Service to generate podcast-style audio content from text, documents, and web content for lawful, educational, informational, and creative purposes.

3.2 Prohibited Conduct. You agree not to:

• Upload, generate, or distribute content that is unlawful, defamatory, obscene, or otherwise objectionable;
• Infringe upon the intellectual property rights of any third party;
• Attempt to circumvent, disable, or interfere with security features or usage limitations;
• Share, transfer, or permit access to your account by unauthorized third parties;
• Distribute malware, viruses, or other harmful code;
• Engage in any form of automated data collection or scraping;
• Reverse engineer, decompile, or disassemble any portion of the Service.

3.3 Content Moderation. We reserve the right to review, monitor, and remove content that violates these Terms or applicable law, with or without notice.

4. Content and Intellectual Property

4.1. Your Content: You retain all ownership rights to content you submit to the Service (text, documents, URLs).

4.2. Generated Content: You own the podcast audio generated by the Service. Visibility of generated content is controlled by you:

• Content remains private unless you choose to publish or share it using features provided by the Service
• When you designate content as public, it may be displayed on publicly accessible pages and indexed by search engines

4.3. License to Us: You grant us a limited license to:

• Store and process your content to provide the Service
• Display publicly shared content on our website or in marketing materials, solely when you have made such content public
• Use aggregated, anonymized data for service improvement

4.4. Third-Party Content: You are responsible for ensuring you have the right to use any content you submit (including content from URLs and documents).

4.5. Model Training and Provider Terms. We do not use your content to train proprietary machine learning models. Where our third-party AI providers offer controls to opt out of training on submitted data, we configure those settings accordingly. Your rights in generated content may also be subject to the applicable terms of those providers.

5. Subscription Plans and Payment Terms

5.1 Plan Tiers. The Service offers a free tier with limited usage and various paid subscription plans with increased usage allowances. Current plan details are available on our pricing page.

5.2 Billing Authorization. By subscribing to a paid plan, you authorize us to charge your designated payment method on a recurring basis. All payments are processed through our third-party payment processor, Stripe.

5.3 Usage Credits. Each subscription plan includes a monthly allocation of usage credits based on audio generation time. Credits reset at the beginning of each billing cycle and do not roll over.

5.4 Plan Changes. Upgrades to higher-tier plans take effect immediately with prorated charges. Downgrades take effect at the start of the next billing cycle.

5.5 Cancellation and Refunds. You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial billing periods.

5.6 Payment Failures. If a payment fails, we may suspend or terminate your access to paid features until payment is successfully processed.

5.7 Price Changes. We reserve the right to modify subscription pricing with at least 30 days' notice to existing subscribers. Continued use of the Service after a price change constitutes acceptance of the new pricing.

6. Service Availability and Modifications

6.1. We strive to maintain high availability but do not guarantee uninterrupted service.

6.2. We may modify, suspend, or discontinue features at any time with or without notice.

6.3. We may update these Terms from time to time. Continued use after changes constitutes acceptance.

7. Data Retention and Account Termination

7.1 Account Deletion. You may request deletion of your account and associated personal data by contacting us at stan@podcast-generator.ai. We will process such requests in accordance with applicable data protection laws.

7.2 Data Retention. Following account deletion, certain data may be retained in backup systems for a limited period not exceeding 30 days for operational continuity and security purposes.

7.3 Termination by Company. We reserve the right to suspend or terminate your account for violation of these Terms, with or without notice, at our sole discretion.

8. Third-Party Services

The Service uses third-party providers for functionality:

• OpenAI and Google Gemini: For AI script generation
• ElevenLabs: For text-to-speech services
• Stripe: For payment processing
• Cloudflare R2: For file storage
• Resend: For email communications
• PostHog: For analytics

Your use of these services through our platform is subject to their respective terms and privacy policies.

9. Disclaimers and Limitation of Liability

9.1 No Warranties. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 AI-Generated Content. We do not warrant the accuracy, reliability, or appropriateness of content generated by artificial intelligence. You are solely responsible for reviewing and validating all generated content.

9.3 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

9.4 Liability Cap. Our total aggregate liability to you for all claims arising from your use of the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold us harmless from any claims arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights (including intellectual property)

11. Governing Law and Dispute Resolution

11.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.

11.2 Jurisdiction. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Leeuwarden, the Netherlands.

11.3 Informal Resolution. Prior to initiating formal proceedings, you agree to attempt to resolve any dispute informally by contacting us at stan@podcast-generator.ai.

13. Miscellaneous

13.1 Severability. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent permitted by law.

13.2 Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding the Service.

13.3 Assignment. You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

13.4 Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
